Brian Rogers
Brian advises clients on a wide range of income tax matters. He works with emerging companies, VCs and private equity firms, and individuals, and has extensive experience with the income tax rules applicable to entities taxed as C corporations, S corporations, and partnerships.
Brian specializes in structuring and negotating mergers and acquisitions, financings, private equity investments, spin-offs, and asset dispositions to provide for a client’s intended tax treatment. He’s worked on hundreds of M&A transactions.
He also advises with respect to REITs.
His pro bono activities include advising charitable organizations and preparing income tax returns for individuals.
Prior to joining Baker Tax Law, Brian spent 10 years at Latham & Watkins. He also previously served as a legal extern with the IRS Office of Chief Counsel, assisting with transfer pricing audits of large multinationals.
Brian received his JD from Stanford University Law School, where he served as executive submissions editor for the Stanford Journal of Law, Business & Finance.
